Privacy Policy
VIA & CO PTY LTD (ACN 697 180 359, ABN 34 697 180 359) Effective date: 12/09/2026Please read these Terms carefully before browsing our online store or purchasing any Digital Product. By accessing our Site or completing a purchase, you agree to be bound by these Terms together with our Privacy Policy. If you do not agree, please do not use the Site or purchase any Digital Product.1. About these Terms1.1 This Site and online store are owned and operated by VIA & Co Pty Ltd (ACN 697 180 359) (“VIA & Co”, “we”, “us”, “our”), a company incorporated in Australia. In these Terms, “you” and “your” means the person or entity that accesses the Site or purchases a Digital Product.1.2 These Terms, together with our Privacy Policy (available at www.viaco.com.au/legal) and any notice or licence embedded within a Digital Product, govern your access to and use of the Site and every Digital Product you purchase, download or access from us.1.3 These Terms apply to purchases made through our online store. They are separate from our Service Agreement, which governs our monthly subscription service. If you are also a subscription client, the Service Agreement governs those services and these Terms govern your store purchases. If there is any inconsistency in relation to a store purchase, these Terms prevail.2. Acceptance of these Terms2.1 You accept these Terms when you tick the box or click the button indicating acceptance at checkout, and in any event by completing a purchase, downloading, or using a Digital Product. We recommend you keep a copy of these Terms for your records.2.2 By accepting these Terms, you warrant that:(a) you are at least 18 years of age and have the legal capacity to enter into a binding contract;(b) where you accept on behalf of a business or other entity, you are authorised to bind that entity;(c) you are acquiring the Digital Products for use in connection with a business, and not wholly or predominantly for personal, domestic or household use (this describes the intended use of the Digital Products and does not limit any consumer guarantee, right or remedy you may have under the Australian Consumer Law); and(d) the information you provide to us is true, current and complete.2.3 We may amend these Terms from time to time in accordance with clause 25. The version accepted at the time of your purchase applies to that purchase.3. Definitions3.1 In these Terms:• “Digital Product” means any digital product made available for purchase, download or online access from the Site, including templates, spreadsheets, dashboards, tools, calculators, reports generated by them, guides, checklists, online courses, webinars and other downloadable or online content (together, the “Templates”, “Tools” and “Courses”).• “Content” means all material on the Site and within the Digital Products, including text, designs, graphics, formulae, models, logos, methodologies and software.• “Output” means any report, chart, metric, calculation, forecast or other result automatically generated by a Digital Product from the data or figures you enter.• “Your Data” means the financial, operational and other information you enter into, or use with, a Digital Product.• “Australian Consumer Law” or “ACL” means Schedule 2 to the Competition and Consumer Act 2010 (Cth).4. General information only, not advice4.1 Our Digital Products and any Output are provided for general information and business-management purposes only. They do not take into account your objectives, financial situation or needs, and must not be relied on as a substitute for advice tailored to your circumstances from a qualified professional.4.2 You acknowledge and agree that our Digital Products and Output do not constitute, and are not provided as:(a) financial product advice within the meaning of section 766B of the Corporations Act 2001 (Cth), and are not provided by an Australian Financial Services Licence (AFSL) holder in that capacity;(b) tax agent services within the meaning of the Tax Agent Services Act 2009 (Cth) (including ascertaining, or advising on, your tax liabilities, obligations or entitlements), and we do not hold a Tax Practitioners Board registration for the provision of tax agent services;(c) accounting, bookkeeping, audit or tax-lodgement services; or(d) legal advice of any kind.4.3 No advisory, professional, fiduciary or client relationship is created between you and VIA & Co by your purchase, download or use of a Digital Product. You should seek advice from your accountant, a registered tax agent, a licensed financial adviser or a lawyer, as appropriate, before making any business, financial, tax or investment decision.4.4 Nothing in this clause 4 excludes, restricts or modifies any right or remedy you may have under the ACL that cannot lawfully be excluded (see clause 16).5. Nature of our Digital Products (self-service tools)5.1 Our Digital Products are self-service tools. Any Output is generated automatically from the figures and information you enter, using the formulae and assumptions built into the Digital Product.5.2 We do not prepare, review, verify, reconcile or approve Your Data or any Output. Unless you separately engage us under our Service Agreement or a written custom-work proposal, no VIA & Co professional reviews the completed Digital Product or the Output before you use it.5.3 Any industry-specific inputs, metrics, benchmarks or commentary within a Digital Product are general in nature and indicative only. They are designed to cater to common needs of a particular industry and may not reflect your specific circumstances, your accounting policies, or the laws or standards applicable to you.6. Accuracy and “as is” supply6.1 We take reasonable care to ensure our Digital Products are accurate and up to date. However, to the maximum extent permitted by law, the Digital Products and Output are provided on an “as is” and “as available” basis and we make no representation, guarantee or warranty that they:(a) are free from errors, omissions or defects, or are complete, reliable, secure or fit for any particular purpose;(b) will cover your specific circumstances, industry, issues or applicable laws; or(c) are free of viruses or other harmful components, or that access to the Site will be uninterrupted.6.2 We do not assume responsibility for the accuracy, effectiveness or suitability of a Digital Product or its Output as it applies to you. It is your responsibility to satisfy yourself that a Digital Product is the right one for your needs before purchase.7. Forward-looking information7.1 Any budget, forecast, projection, cash-flow analysis or other forward-looking Output is inherently uncertain and is based on the figures and assumptions you enter at the time. Actual results may differ materially. We give no assurance, representation or warranty (express or implied) that any forecast, projection or anticipated outcome will be achieved.8. Your responsibilities8.1 You are solely responsible for the accuracy, completeness and appropriateness of Your Data. Any Output is only as accurate as the information you enter.8.2 You must review and independently verify any Output before you rely on it or act on it, and you remain solely responsible for all decisions, actions and outcomes arising from your use of a Digital Product or its Output.8.3 You are responsible for maintaining your own records and secure backups, for your account credentials, and for all statutory, tax and regulatory compliance obligations applicable to your business.9. Licence to use the Digital Products9.1 On receipt of full payment, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Digital Product for your own internal business purposes only.9.2 You must not, without our prior written consent (which may be given by email):(a) share, on-sell, sub-licence, distribute, publish, transmit or otherwise make the Digital Product available to any third party;(b) reproduce, copy or reverse engineer the Digital Product, or create derivative works from it, except for modifications made in the ordinary course of completing the Digital Product for your own authorised use; or(c) remove, obscure or alter any copyright, trade mark or other proprietary notice.9.3 Online courses. Where you purchase a Course, we grant you a personal, non-transferable licence to access the Course for your own business learning for the access period stated at purchase (or, if none is stated, while we continue to offer it). Course logins are for one user and must not be shared. Course materials remain general information only and are subject to clauses 4 to 8.9.4 If you materially breach these Terms and, where the breach is capable of remedy, fail to remedy it within a reasonable time after we ask you to, we may suspend or revoke your licence and access to the affected Digital Product. Where we revoke access to a Digital Product for which you have pre-paid for a period of access that has not yet been provided (for example, a Course), we will refund the portion of the fee reasonably attributable to the access not provided, unless the breach involves unlawful conduct or infringement of our intellectual property rights. This does not limit any other right or remedy we have. This clause 9 survives termination.10. Intellectual property10.1 All intellectual property rights in the Site, the Content and the Digital Products (including all templates, frameworks, dashboards, models, methodologies, course materials and software, whether registered or unregistered) are and remain the exclusive property of VIA & Co or its licensors. Your purchase grants only the limited licence in clause 9 and transfers no ownership or other rights to you.10.2 Where a Digital Product includes third-party materials, you must comply with any applicable third-party licence terms.11. Orders, pricing and errors11.1 We try to describe and price our Digital Products accurately, but occasionally there may be typographical errors, inaccuracies or omissions in descriptions, pricing or availability.11.2 We reserve the right to correct any error, and to refuse or cancel any order where information (including price) is inaccurate, even after an order has been submitted. If we cancel an order you have paid for because of such an error, we will refund the amount you paid for that order.12. Payment and GST12.1 All prices are in Australian Dollars (AUD) and are the price payable at the time your order is placed. Payment is made through our third-party payment providers (for example PayPal or Stripe). You warrant you are authorised to use the payment method you provide, and you agree to the applicable payment provider’s terms.12.2 VIA & Co is not currently registered for GST under the A New Tax System (Goods and Services Tax) Act 1999 (Cth), and prices displayed do not include GST. If VIA & Co becomes registered for GST, prices will be treated as GST-inclusive or GST will be added, as required by law, from the date of registration, and we will issue valid tax invoices for taxable supplies from that date.13. Delivery and access13.1 Digital Products are delivered electronically, by download link or account access, on or shortly after successful payment. You are responsible for providing a correct email address and for downloading and storing your Digital Product.13.2 By purchasing, you request and consent to immediate supply of the Digital Product on completion of payment, and you acknowledge that supply begins immediately (see clause 14 and, for overseas customers, clause 15).14. Refunds, consumer guarantees and chargebacks14.1 Your rights under the Australian Consumer Law come first. Nothing in this clause 14 excludes, restricts or modifies any consumer guarantee, right or remedy you have under the ACL that cannot lawfully be excluded. Where a Digital Product fails to meet a consumer guarantee (for example, it is not of acceptable quality or does not match its description), you may be entitled to a repair, replacement, resupply or refund as required by the ACL.14.2 Subject to clause 14.1, because our Digital Products are supplied digitally and made available for immediate download or access, we do not offer refunds for change of mind, for a change in your circumstances, or where you have selected the wrong product. Please choose carefully and contact us with any questions before purchasing.14.3 If you believe a Digital Product is faulty or not as described, contact us at connect@viaco.com.au with details and we will assess your request and provide any remedy required by law.14.4 Chargebacks. If you receive a refund or a chargeback in respect of a Digital Product, your licence to use it ends immediately and you must destroy all copies and confirm this to us in writing. If you continue to use the Digital Product after a refund or chargeback, or you retain and use it without having paid, we may issue a tax invoice for the full price and recover the amount owing (including any recovery costs and interest) through a debt-recovery process. “Chargeback” means the reversal of a payment initiated through your bank or payment provider.15. International / overseas customers15.1 Our Digital Products are offered to the Australian market and are priced in Australian dollars. We do not target, market or offer our Digital Products to customers in New Zealand, the European Union, the United Kingdom or elsewhere overseas. Because Digital Products are delivered by download, we cannot prevent access or purchase from outside Australia. If you access the Site or purchase from outside Australia, you do so on your own initiative and at your own risk, and you are responsible for complying with the laws of your location. We make no representation that the Site or the Digital Products comply with the laws of any country outside Australia.15.2 You are responsible for any taxes, duties, VAT or other charges imposed in your jurisdiction on your purchase.15.3 Where you are a consumer in a jurisdiction that provides a cancellation or "cooling-off" right for digital content (for example, the 14-day withdrawal right in the EU or United Kingdom): by purchasing, you expressly consent to the Digital Product being supplied immediately and acknowledge that, to the extent permitted by the applicable law, you lose any such cancellation right once download or access begins.15.4 Where you contact us or purchase from outside Australia, we handle your personal information in accordance with our Privacy Policy and Australian law, and we will comply with any other privacy law that applies to us to the extent it is required to.16. Australian Consumer Law16.1 Our goods and services come with guarantees that cannot be excluded under the Australian Consumer Law. Nothing in these Terms excludes, restricts or modifies any such guarantee, right or remedy.16.2 To the maximum extent permitted by law, where a Digital Product or service is not of a kind ordinarily acquired for personal, domestic or household use or consumption, our liability for a failure to comply with a consumer guarantee is limited, at our election, to: (a) resupplying the relevant Digital Product or service, or supplying an equivalent; or (b) paying the cost of having it resupplied.17. Limitation of liability17.1 Nothing in this clause limits any liability that cannot be excluded or limited by law, including under the ACL, or liability for fraud or wilful misconduct.17.2 Subject to clause 17.1, to the maximum extent permitted by law, we are not liable for any indirect, consequential, incidental or special loss, or for any loss of profit, revenue, anticipated savings, data, opportunity or business, arising out of or in connection with the Site, any Digital Product or any Output, whether in contract, tort (including negligence), statute or otherwise.17.3 Subject to clause 17.1, our total aggregate liability arising out of or in connection with a Digital Product (however arising) is limited to the amount you paid to us for that Digital Product.17.4 You use, and rely on, any Digital Product and Output at your own risk, and you are responsible for independently verifying its accuracy and suitability before acting on it.18. No third-party reliance18.1 Digital Products and Output are for your own internal business use only. We accept no responsibility or liability for any reliance on a Digital Product or its Output by any third party (for example a lender, investor or purchaser), and you must not represent that we have prepared, reviewed or endorsed any Output provided to a third party.19. Indemnity19.1 To the maximum extent permitted by law, you are liable for, and indemnify VIA & Co and its officers, employees and contractors against, any loss, liability, claim, cost or expense (including reasonable legal costs) that they reasonably incur arising from or in connection with: (a) inaccurate, incomplete or misleading information you enter or provide; (b) your use of a Digital Product or Output outside the scope of the licence or these Terms; (c) any claim by a third party arising from that third party’s reliance on a Digital Product or Output that you provided to them; or (d) your breach of these Terms or of any law. Your liability under this clause is reduced to the extent that our negligence, fraud or wilful misconduct, or that of our officers, employees or contractors, caused or contributed to the loss.20. Privacy20.1 We handle personal information in accordance with our Privacy Policy, available at www.viaco.com.au/legal, which forms part of these Terms. Note that where a Digital Product runs locally on your own device, the financial data you enter into it is not transmitted to or collected by us.21. Accounts21.1 You may need to create an account to purchase or to access a Course. You must provide accurate details, keep your credentials secure, and are responsible for activity under your account. We may suspend or cancel an account for breach of these Terms or applicable law.22. Acceptable use22.1 You must not use the Site or any Digital Product to breach any law or any person’s rights, to interfere with or damage the Site, to send unsolicited communications, or in any way that competes with our business. We may remove access for breach of this clause without refund.23. Third-party links and payment providers23.1 The Site may link to third-party websites and uses third-party payment providers. We do not control or endorse third-party sites and are not responsible for their content or services. Your dealings with third-party providers are governed by their terms.24. Suspension and termination24.1 We may suspend, restrict or terminate your access to the Site, or discontinue the Site or any Digital Product, at any time, acting reasonably (for example, for security, legal, operational or maintenance reasons, or because you have breached these Terms). Where we terminate or suspend your access because of your breach, we are not required to refund amounts for Digital Products already delivered to you. Where we terminate, suspend or discontinue for any other reason, we will refund any amount you have pre-paid for access you have not yet received. All disclaimers, licence restrictions and limitations of liability survive termination.25. Changes to these Terms25.1 We may update these Terms from time to time, consistent with applicable law. Any updated version applies only from the date it is posted on the Site and only to purchases you make on or after that date; the version you accepted at the time of your purchase continues to govern that purchase. Where you hold ongoing access to a Digital Product (for example, a Course) and a change would materially and detrimentally affect your existing access, we will take reasonable steps to notify you before the change takes effect, and if you do not accept the change you may stop using that Digital Product and, where you have pre-paid for access not yet received, request a refund of that portion. Please review these Terms before each purchase.26. Assignment26.1 We may assign, novate or transfer our rights and obligations under these Terms to a third party, provided that doing so does not reduce your rights or remedies under these Terms or the Australian Consumer Law. You may assign or transfer your rights or obligations only with our prior written consent, which we will not unreasonably withhold.27. Severability27.1 If any provision of these Terms is held to be invalid or unenforceable, it is to be read down or severed to the minimum extent necessary, and the remaining provisions continue in full force.28. Entire agreement28.1 These Terms, together with our Privacy Policy and any licence or notice embedded in a Digital Product, constitute the entire agreement between you and VIA & Co in relation to your use of the Site and store purchases, and supersede all prior communications.29. Governing law and jurisdiction29.1 These Terms are governed by the laws of the State of Victoria, Australia. You submit to the non-exclusive jurisdiction of the courts of Victoria. If a dispute arises, you agree to contact us first so we can try, in good faith, to resolve it quickly.30. How to contact us30.1 Questions about these Terms can be sent to connect@viaco.com.au.
